A business partner and I want to start a company that will broker
equity funding deals between business owners and investors (venture
capitalists and so called “angles”).  We intend to setup the company
as a limited liability partnership (LLP).  We have access to specific
funding sources and we want to broker financing deals between them and
entrepreneurs/business owners.  We want to be able to make money by
taking a piece of these deals as a fee.  What licensing is required
for the partners and the company to legally do this (SEC, State of
Texas, etc)?  Is an LLP the best way to set this up (there will be
only two or three people in this company for the foreseeable future)? 
The company will be based in Austin and Dallas Texas.
