Services", but I'd need to confirm what the company does to be

not sure what info you need..I am searching for the names of the
people who are key people or officers in the company "Checkpoint
Businss Inc". I have checked for a DBA (Doing Business As)in Texas
and in Harris County (Houston) Texas but it is not registered there.
I need someone to check other registrations..Delaware, Maryland and
Nevada are the first places that come to mind where businesses file
articles of incorporation. The articles should list the principals'
names. I have no way to check other states or cities. Usually the
Sec of State or the County Clerk office has that info; at least, that
is how it works in Texas. I have been told there are 4-5 people that
"are the company". I need to know their names.

It is not Checkpoint Business Services; that is another firm entirely.
This is probably a fairly new firm...last 3-12 months or so, I think.
They may be a venture capital firm???? not sure...they loaned some
money to a cash-strapped business.

spoke to someone at Del office; she says she has nothing under
Checkpoint Business and that the filing number is too many numbers.
Can you go back to Lexis-Nexis and clarify???

Hello,
Boy, this is a strange story. I cannot find (yet) any of the
principles of Checkpoint. Checkpoint is a recently formed business,
that entered into a loan agreement with Coots and Boots in Houston on
12/4/02 to bail the latter out of financial trouble. Apparently to no
avail, as Boots & Coots (an oil well contractor) looks to be going
under.
"Boots and Coots entered into a Loan Agreement with Checkpoint
providing for short term working capital up to $1 million. According
to the Loan Documents upon the occurrence of an Event of Default (i)
any obligation of Checkpoint to make advances of principal under the
Note shall immediately terminate, (ii) Checkpoint may, at its option,
without notice to the Company, declare the principal and interest
accrued on the Note and on all other Obligations to be forthwith due
and payable, and (iii) Checkpoint shall have the right to exercise any
and all rights and remedies available to it under the Loan Documents
or at law or in equity."
I talked with several contacts at B&C and, while they are aware of
Checkpoint, no one seems quite sure who they are. It is a group of
about 5 people very knowledgeable in the oil field business; possibly,
it is composed of some of the many, many folks that have taken B&C to
court over money owed them.
If I learn any more, I'll let you know.
