Welcome to the daring community of the entrepreneurs. I know that the
questions you seek might seem tantalizing. But believe me once you
have the basic idea, you will love to work on your business plans. As
the field of starting a new business is very vast and it has thousands
of resources, I have tried my best to provide you with a list of the

Q1. ANSWER
It is not difficult to form a corporation these days. It may only take
you five minutes and the best thing is that you can do it online
without leaving the comfort of your home. First, I am not sure about
your company size. If you want to incorporate your business or start
cooperation, you will have to have shareholders. BUT IT SEEMS that you
are planning to open a small business. If you have a small company
than the best way is to form a LLC (limited Liability Corporation) as
it does not demand any shareholders and you enjoy the same tax
benefits as sole proprietorship or a Partnership (no double taxation).
Let me make easy. There are four types of companies. (1. Sole
proprietorship --- you are the sole owner, 2. Partnership --- you and
you partner/s own the company , 3. LLC  4. General Corporation.

I'm glad to see you are interested in becoming an entrpreneur. You've
asked some good questions, but they cannot be adequately answered
without knowing a great deal about your situation - what kind of
business? Are you buying an existing company or starting from scratch?
where are you located? what experience and education do you have? What
financial resources do you have? What are your goals? Who do you have
access to who might mentor you? And many, many other questions.

My recommendation would be to begin by going to the library or
bookstore and getting some good books with lots and lots of business
startup ideas and information. Here's one you might start with:

For information on how to form a Florida corporation, explore the
State of Florida's Web site. Generally, it is the office of the
Secretary of State in a given state that handles incorporations, but
states do differ.

I also suggest exploring the Web site of Nolo Press, at
http://www.nolo.com/  Nolo offers books to guide people who aren't
lawyers in doing things (like forming a corporation) that they may not
ALWAYS need a lawyer to do. You may, for example, find that it would
make more sense in your specific case to operate as a sole
proprietorship or as a partnership rather than as a corporation.

I also suggest an often-recommended book, _Small Time Operator_, by
Bernard B. Kamoroff, CPA. Its ISBN is 0-917510-15-1. It covers much of
what is needed to form and operate a small business.
