The process for dissolution is essentially the same -- whether for an
"S" or a "C" corporation, and should be pretty straightforward.

First you'll have to make sure all of your annual reports for your
corporation are up-to-date.

Second, you'll have to download the Articles of Dissolution at the
Secretary of the Commonwealth Corporations Division website:

[Note: you'll need Adobe Acrobat to read this file, obtainable at
http://www.adobe.com.]

Important Printing Instructions: To properly file the forms below,
they must be printed on 8.5 x 11" white 25% cotton bond paper in black
ink only. You may print the forms as one or two sided documents.

Corporations Division
1 Ashburton Place Rm. 1717
Boston, MA 02108
