Possible Answer to #1

"This message may indicate the Mfc42.dll file was not updated when
Quicken was installed, or that installation of another program
overwrote the necessary version of the file. To resolve this issue,
restart your computer and try to reopen Quicken."

Possible answer to #2

"If you have personal firewall software, (for example, Black Ice
Defender, Zone Alarm, Norton Internet Security, or other firewall
software) make sure the Quicken program (qw.exe) has full and
unrestricted access to the Internet. Additionally bagent.exe will also
need full, unrestricted access for all areas of the programs online
functionality to work properly."
