February 2, 1996; he is also Chairman of the Executive Committee. He
has been the President since 1984 of Smith Management LLC, a private
investment firm. He was a member of the Board of Directors of Harvard

Board of Directors of Servico, Inc., a lodging owner and management
company, from April 1994 until August 1997, being Chairman of the
Board from December 1995 until he resigned from the Board. Mr. Adams
was Chairman of the Board of Directors of Regency Health Services,

I had found one further item:

"From 1972 to 1983 he was a partner in the law firm of Dillon, Bitar &
Luther."

The above letter indicates that he was being nominated for the Board
of Directors of Sun Healthcare.
