When installing w2k sp4, i keep getting an error "The file
c:\arcsetup.exe is open or in use by another application.  close all
other applications and then click retry."  I have closed every
application I could find, I've restarted in safe mode all to no avail.
 I've run antivirus software as well.

What is causing this problem?

I HAVE run (past tense) antivirus software to confirm the drive is
clean.  I am not currently running any antivirus software.

I have run task manager and closed every application that I could, but
still kept getting the error.

Seems to me like your AV software is causing the problem.  Disable
ant-virus protection and try again.

You could try going into Task Manager (you can get to it by pressing
CTRL-ALT-DEL), clicking on the Processes tab and ending the process
associated with arcsetup.exe.

Arcsetup.exe is one of the system (boot) files for Windows 2000.
If you have dual-boot installed in this machine that might be the
problem

If not, try running a Windows 2K repair. Your arcsetup.exe file could
be corrupt and it will be replaced during this process.
