I've found a US website that sells a downloadable affiliate agreement
for US$19.99 (a code is emailed to you after purchase and the document
can be downloaded as a Word document or a .pdf file).  You can also
preview the document before you purchase it.  I've had a quick look at
it and while it does seem to contain most of the elements that you are
looking for, you will need to do some editing and tweaking yourself.

The form is described on the website in the following manner:

- Provides License for Linking and Logo Use
- Provides for Tracking of Purchasers and Revenue Sharing Payment
System With Exclusions for Incomplete Purchases and Payment After
Deductions for Shipping, Taxes, etc.
- Provides for Both Parties' Maintenance of Each's Site
- Provides Standard Warranties and Indemnifications 
- Provides Liability Limit

The terms of this form are in favor of the Affiliate Program owner.

The preview actually gives a very good introductory guideline as to
how to use the agreement properly and discusses the issues behind
clauses such as liability limits, warranties and indemnification and
payment.

As I've indicated above, you will need to do some tweaking with this
template as it is provided only as a "basic" boilerplate template and
the disclaimers on the website make it very clear that you use such
templates at your own risk.

Hi there rkm100 :)


With all due respect, you are unlikely to get an "exhaustive"
agreement for your currently listed price.  Only three quarters of
your list price (i.e $4.80) will be paid to the researcher that
answers this question.

In particular, given the scope of your question (i.e. "exhaustive"),
it's highly unlikely that any researcher will be able to anticipate
your precise requirements.

Some of the things which would help researchers:

1. Where are you located?
2. What type of affiliate agreement do you want e.g. does it involve
simple linking between sites, does one affiliate do any form of
processing for the other, are there any referral fees, is product
tracking involved, etc.
3. Do you really want an exhaustive agreement or perhaps a basic
template that you can then tweak/alter as you require would be more
suitable.

I know it is too less.. but I guess BoilerPlate means something which
is already there I could use it for free ;)

Nevertheless.. my comments on the quries raised :)
(i) I am Looking for a company based in US
(ii) Yes !!! simple linking.
(iii) referral fees would be paid to affiliates based on click through
(iv) The company is offering traffic tracking.. and affiliates have
nothing to do with product sales.

I am looking at an exhaustive.. :) (if agreement available less than
20$ would not mind paying for the same)
