What are the costs of a 144A offering versus a fully-registered public
offering?  I need itemized figures for legal fees, accounting fees,
and SEC filing fees.

Hi there,

Rule 144A offerings are private offerings, so require less marketing
efforts, relatively less cost in terms of SEC's filings. Registered
public offerings incur high costs mainly because of requirements of
initial filings and ongoing filings with SEC.
