Are you seeking the author of the pre-IPO prospectus -- or who the
underwriters were for the stock offering?

A prospectus is usually assembled by the VP Finance in a
highly-collaborative effort involving not a few solicitors or lawyers.

Juliah -- 

I did more than a little leg work on this and came up cold.  The
purpose of this note is NOT to seek a clarification but to make sure
that you're aware of all of the background:
*  Torotrak was spun out in a rights issue on Aug. 18, 1998 by BTR Plc.
*  BTR is now owned by Invensys, which made the acquisition in 1999
*  the rights issue (called an IPO in the U.S.) was not very
successful, with only 2.64% of the shares purchased

A couple of suggestions: if you or anyone has access to the Financial
Times (UK), you may be able to find the underwriters' tombstone ads in
the July 9-August 18 period.  I checked the Wall Street Journal but
they only had one short story about Torotrak at that time.

Judging by the poor performance at the offering, my guess is that
there was only 1 underwriter.  And I'd also be willing to bet that the
company that was acting as investment banker to BTR at that time did
the underwriting.

Omnivorous,

Thank you for all your work thus far. I, too, have been researching
this particular question for a couple of months and finally thought
I'd solved my problem when I stubbled onto Google Answer link. I would
happily pay to have the answer to this question and get it off my
plate! I work for a small company that will no doubt go public in the
near future, and the ceo and president is who I am researching this
information for. I have a few other avenues I may try.
