I'm not certain there is a straightforward way to do this, but the
simplest thing I can think of is:

Move the hard drive from the older computer in to the new computer,
and use an application such as "drive
copy"(http://www.webreviews.com/97_07/drivecopy.html) to move
everything from the old hard drive to the new hard drive.

Upgrade to Server 2003 using the CD.

There are a few tricks to doing it this way, and should not attempted
unless you are fairly comfortable working with hardware.

Good luck.
