I need to set up a company in Hong Kong to provide shipping consulting
and trading. The company needs a Hong Kong adress,  but no physical
locations.
I am a resident of Japan.

1. What are the prerequisites for doing this?

Hi nakasanna,

The good news is, you shouldn't have too much trouble establishing a
sole prorietorship in Hong Kong - briefly, you'll only need to apply
for a "Business Registration Certificate" and register your business
name, (assuming your business won't require a professional licence in
order to conduct business).

FIRST STEP:
You will need an agent with a physical address in Hong Kong.
SECOND STEPS:
Register your business name.
Apply for a "Business Registration Certificate" from the Inland
Revenue Department of Hong Kong.

BUSINESS REGISTRATION:
"All businesses, whether limited liability companies, sole
proprietorships, or partnerships must be registered with the Business
Registration Office of the Inland Revenue Department."
New business carried on by an individual or a partnership:
"A new business carried on by an individual or a partnership must be
registered with Business Registration Office within 1 month of its
commencement. If a business is carried on by an individual, Form 1(a)
should be completed... These forms should be submitted together with
photocopies of the Hong Kong identity cards or passports of the
proprietor [or his agent].
If the sole proprietor... is not residing in Hong Kong, he (they) must
appoint an agent who is residing in Hong Kong to act on his (their)
behalf for the purposes of business registration. An appointment
letter for the agent and a copy of the agent's Hong Kong Identity Card
must be submitted together with the business registration application
form. In the appointment letter, which should be signed by both the
principal and the agent, full particulars of the agent including his
name, Hong Kong identity card number and residential address must be
stated. Alternatively, you may furnish the details on the form IRBR
177 (PDF format).

take care of this for you, but given that your business is not
incorporated, a less expensive option may be to use the services of a

* representation of an agent who is Hong Kong resident;
* photocopy of proprietor or all partners' passport;
* a Hong Kong registered address.
