I need to know if CA corp. code 7211 is still effective.  The 2004
Bluebook gives subject of 7211, Board Meetings, Notices...; EFFECTIVE
UNTIL JANUARY1,2004. I am specifically concerned about 7211 (8) b,
action without notice or meeting. Can an Action by Unanimous Written
Consent of the BOD be used to consent to an action that deals with an
issue that has been forseen, all info is old,past BOD & management
didn't deal or communicate to members about the problem? If 7211 still
effective WHY?  If Not what replaced it? Does the simple "effective
until January 1,2004" automatically cancel the code?

I need to know if Directors & Officers Insurance coverage will claim
even if BOD  not in compliance with many codes re: disclosure,
notices, record availablity,failure to adequately fund reserve
account,deterioration of property, possibly value,former board issued
faulty reserve study hoping for a 3.5m special assessment etc. The
insurer is Travelers Casualty & Surety , D&O
Liability Insurance: $2m per occurence, $2mannual aggregate, Umbrella
liability insurnce by Federal Ins. Co. (Chubb), $25m per occurence,
25m annual aggregate - I am trying to get policy & endorsements -
being an over exposed defendant even the crusader rabbit delusion, and
the hope of reversing several years of personal agendas - the
liability question is scary - any statistics re: owners sueing for
property deterioration, capricious enforcement of rules, etc?  BONUS

I can answer the first part of your question, about what law is in
effect. I do not understand and cannot answer the second part of your
question. Is this sufficient? If not, perhaps you could break your
question up into two parts.
