a bit more detail about what you need.

Are you looking for an answer as it applies to precedent established
in Delaware?  Is there a particular case before the Delaware Chancery
Court that you have in mind?  Are you NOT wanting information about
liabilities established by federal law?

Is there anything more you can tell us about the hypothetical
circumstances of this question?  What types of actions taken by the
Board are you referring to, either before or after the Director takes
the helm?  What type of business is this company in?

Any additional information you can provide would be a big help in
focusing our research for this question.
