Hi robert22,

The law firm who assisted and advised Virgin Mobile during their
negotiations with T-Mobile was Denton Wilde Sapte.

"Denton Wilde Sapte advise Virgin Mobile on T-Mobile issues

International law firm Denton Wilde Sapte has advised Virgin Mobile on
its new network services supply agreement with T-Mobile, and the
settlement of all disputes arising under an earlier supply agreement
and joint venture structure. The firm has been acting in the High
Court litigation since proceedings were issued in October 2002.
T-Mobile and Virgin Mobile have entered into an enhanced network
services supply agreement, running for a minimum ten years, an
agreement which provides substantial benefits to both companies.
Virgin Group has also acquired T-Mobile's interest in Virgin Mobile.
As part of the broader settlement, T-Mobile will have the right to
receive 25 percent of any value over £550 million, up to a maximum
payment of £100 million, in the event of a public offering of Virgin
Mobile or similar transaction within the next two and a half years..."

"The challenge:
Virgin Mobile, a joint venture between Virgin Group andT-Mobile,
needed to resolve some highly technical disputes with its network
services supplier ? T-Mobile. In doing so, it was vital that everybody
remained on good terms because, even though T-Mobile was leaving the
joint venture, Virgin Mobile, as a virtual network operator, would
continue to buy network capacity from T-Mobile.
Our solution:
A large team from across the firm, comprising TMT,Corporate and
Banking lawyers, worked on all aspects of the litigation and
settlement of Virgin Mobile?s long-term supply arrangements
withT-Mobile and the company?s position in the joint venture. Our TMT
team handled initial proceedings and those in the Court of Appeal, as
well as the renegotiation of the network supply arrangements, while
our Corporate team dealt with the joint venture and structural
aspects, assisted by our banking team who advised on the company?s
financing. Our telecommunications knowledge ? broad expertise, sharply
focused ? enabled us to facilitate and make a real contribution to the
eventual deal."
