I refer advertisers to publishers/lead vendors and or publisher networks, email list owners etc. Basically any company that can generate custom leads for an advertiser. What i want to see is what type of agreement document can protect me via a contractual agreement when i refer an advertiser to a lead vendor to assure that advertiser will pay me the referral fee per lead that is generated by the referred vendors for the advertiser. The advertiser signs an agreement directly with the lead vendor and pays them directly for the leads generated. The advertiser then pays me a referral fee for each lead generated by vendors when those leads are delivered to advertiser. Agreement should bind the advertiser to pay that referral fee and to provide stats as to how many leads they have recieved from each vendor so I can be assured i get the referral fees for those leads. Agreement should contain a non-disclosure/non-compete/ confidential clause so that advertiser wont give out the vendor names to others and or have a third party contact vendor for leads to get around paying the referral commission fee. I would like a finished agreement example or something close to it as far as pointers or examples of text to use. Also if available provide sites or links to goto to get info on this kind of agreement text and business that i am in. |
