I need examples of 'For Profit' businesses acquiring 'Not for Profit' organizations under rule 501(c) and turning (after the acquisiton) that Not for Profit business into a For Profit business (I think that nonprofit status is lost automatically once they are acquired, but willing to listen to your opinion on matter) I need to be able to see the laws governing such transactions + what needs to be done on acquiror and acquiree sides to effect such a transaction (go to attorney general for permissions, write letter to shareholders (?)..etc.) and I would like to see the 8-K filings on EDGAR (which includes the Purchase Agreements) on EDGAR for such transactions. I need at least 5 recent examples of such a transaction. I need clear bullet points on the subject, clear explanations, not only links to sites. Please let me know what you find.. |
