You are looking for an "LLC Operating Agreement."

There may be particular requirements for items that your state's LLC
statute require to be included. What state is your business operating
in?

Hello and thank you for your question.

The Texas legal requirements for an LLC appear at
http://www.capitol.state.tx.us/cgi-bin/statutes/pdfframe.cmd?filepath=/statutes/docs/BO/content/pdf/bo.003.00.000101.00.pdf&title=BUSINESS%20ORGANIZATIONS%20CODE%20-%20CHAPTER%20101
and particularly at
http://www.capitol.state.tx.us/statutes/docs/BO/content/htm/bo.003.00.000101.00.htm#101.051.00
There are some 2005 amendments to the statute but nothing important in this case
http://www.capitol.state.tx.us/cgi-bin/tlo/textframe.cmd?LEG=79&SESS=R&CHAMBER=H&BILLTYPE=B&BILLSUFFIX=01319&VERSION=5&TYPE=B

My reading of the statute is basically that you can say whatever you
want and as long as the LLC is legally formed (see below) you'll be
fine.

I suggest you start with the language for a Texas LLC operating agreement at
http://www.ilrg.com/forms/llc-opag-man/us/tx
You can copy and paste from the webpage subject to the webpage's terms
of use, or you can pay the site-owner $9.99 for the instrument in Word
format
http://www.ilrg.com/cart.php?id=LLC-OAMM-TX

Here's how to form a Texas LLC:
Quoting from the State website,
The secretary of state has promulgated certain Texas Business
Organizations Code forms designed to meet statutory requirements and
facilitate filings with the office; use of the forms is permissive.
Forms may be obtained from our Web site or by telephone. The telephone
number is 1 (900) 263-0060 and there is a fee of $1.00 per minute when
using this service. Forms are available instantanteously by Fax on
Demand or the caller may leave a name and mailing address and the form
will be mailed within three business days. Access to the business
entity and UCC databases is available via the Internet through the
SOSDirect System. For information on SOSDirect or to subscribe for the
service, call (512) 475-2755.
http://www.sos.state.tx.us/corp/forms_boc.shtml
Here is the fee schedule:
https://direct.sos.state.tx.us/help/help-corp.asp?pg=fee-revised
And here is the form for filing with the State:
http://www.sos.state.tx.us/corp/forms_boc.shtml

Best of luck with your business!
