Hi all.  It is my udnerstanding that in California if you have what is
defined as a "close corporation" (less than 35 unaccredited investors,
no public advertising for investors, etc.) that you need to file a
form with the state of California that will exempt you from having to
do securities registration.  I recall hearing that this form must be
filed with 15 days of incorporation.  I believe this form designates
you as one of the following: H, W or one other one that I can't
recall.

I poked around the State of California website a lot and couldn't find
anything about this.  I'm wondering if anyone is aware of what I'm
talking about and can point me in the right direction.  This seems
pretty simple but I want to make sure we do it right if need be.
