My brother-in-law would like to revive his NYS corporation (basically a one-person construction business), which went inactive several years ago. Is this a simple process that can be done without a lawyer, and if so, how does the process get underway? | |

Hello and thank you for your question. New York State offers a fairly straightforward procedure. I suggest you give it a try without a lawyer; generally if there is something the state doesn't like about the filing they'll return it to you and allow more chances to get it right. Reinstatement of a Corporation http://www.tax.state.ny.us/pdf/2002/corp/tr194_1_1102.pdf You can use this form as a starting point for the necessary amendment - - change "limited liability company" to "corporation" and add the info called for above. http://www.legallanguage.com/Corp/NY/dos1358.pdf Here's a Delaware form for comparison http://www.megadox.com/docdetail.php/4315 The filing fees are listed here http://www.dos.state.ny.us/corp/corpfees.html The extra cost for "expedited service" is worth spending.... Search terms used "new york" "secretary of state" form "certificate of amendment" ~reinstate Thanks again for bringing us your question. Sincerely, Google Answers Researcher Richard-ga |
