Question ID: 464847
My brother-in-law would like to revive his NYS corporation (basically
a one-person construction business), which went inactive several years
ago. Is this a simple process that can be done
without a lawyer, and if so, how does the process get underway?

Can you tell us the name of the corporation? That way, we can check
its formal status with NYS.

Thanks.

The Name of the corporation is Lord Storefronts & Construction, Inc. I
searched it at the NYS Department of State website. It is listed as
"Inactive." Thanks for any help you can provide!

Hello and thank you for your question.

New York State offers a fairly straightforward procedure. I suggest
you give it a try without a lawyer; generally if there is something
the state doesn't like about the filing they'll return it to you and
allow more chances to get it right.

Reinstatement of a Corporation
http://www.tax.state.ny.us/pdf/2002/corp/tr194_1_1102.pdf

You can use this form as a starting point for the necessary amendment
- - change "limited liability company" to "corporation" and add the
info called for above.

Here's a Delaware form for comparison

The filing fees are listed here

The extra cost for "expedited service" is worth spending....

Thanks again for bringing us your question.
