Howdy, I'm doing my research on register and maintain in good standing a domestic limited liability company (LLC) in the state of California. I studied some NOLO books on LLCs but I'm not clear on filing requirements for CA (state requirements are listed within a minimal appendix). I'm also already familiar with Google Answer related to LLCs. So far I believe I have to do the following filings: To register: - Form LLC-1--LIMITED LIABILITY COMPANY ARTICLES OF ORGANIZATION (mandatory) along with the Operating Agreement for the LLC as attachment (optional, but highly recommended). - Within 90 days of registration file form 568--Limited Liability Company Return of Income along with the form FTB 3522--Limited Liability Company Tax Voucher. To maintain: - Every year on or before the 15th day of the LC?s taxable year (fiscal year) or April 15, 2003 (calendar year) file form 568--Limited Liability Company Return of Income along with the form FTB 3522--Limited Liability Company Tax Voucher. Now, here are the specific questions that I'm interested into: - I'm I right so far? - There are any other filing requirements? - How about form LLC-12--STATEMENT OF INFORMATION, do I need to file it? Personal takes and insights are welcome. Thank you |
