Hi, We have just recently incorporated in the state of Texas. We plan on issuing stock to friends, family and aquaintences. We also plan to advertise it ON our website, so that other interested parties will be able to purchase shares in our company. We also plan on issuing a Monthly subscription to where users can purchase one share a month. For something like this, would we need to file with SEC, or are we exempt since this is considered a Private Offering. Thanks |
