In the early 80's I watched a movie on late night TV that had a 70ish
feel to it.  It was about a ship that had sunk to the bottom of the
ocean, hit an air pocket and the survivors were still living in it.  
The people were divided into 2 class (basically upper and lower
class).  A salvage crew had gone down to the wreck and found the
people.  Some wanted to leave and some did't.  This movie has been in
the back of my head for years and I cannot find the title.    Any help
would be wonderful !!

The movie you have in mind is, without any doubt, "Goliath Awaits",
from 1981. I know it for sure beause it saw the movie myself some
years ago. I immediately recognized it from your description.
