Cricket Australia rules state that the appointment of the Captain,
Vice-Captain and team must be approved by the board of 14 Directors.

The Cricket Australia Board of Directors appoints a National Selection
Panel each year. Selection decisions are approved by the Cricket
Australia Directors based on the recommendations provided to them by
the selectors.
2. What is the selection process?
The selectors are given no instructions other than to select what, in
their opinion, is the best team to represent Australia for each game.
Among other factors, the selectors consider form, make up of the
opposition, team balance and injuries.?

I could not find the regulations and by-laws on the Cricket Australia
web site so the below is sourced from a press release from 2000.
?The squad for each international match is chosen by the National
Selection Panel comprising of Trevor Hohns (Chairman), Andrew
Hilditch, Allan Border and Geoff Marsh. This may include
recommendations for the positions of Captain and Vice-Captain.
At that point, those recommendations are referred to the 14 Directors
for approval, and those Directors will then act in accordance with the
Australian Cricket Board's by-law 6.4, which states:
"When the selection of a team ... to represent Australia has been
completed and such selection has been approved by the Directors, the
Directors must from such players so selected appoint a Captain and a
Vice-Captain."
