4 Gig RAM is not working.
We try to use new motherboard and XP. Still no result, it can see only
2.75 Gig. Tried service Pack upgrade.

It will depend on the type of motherboard you have. Have you checked
your motherboard's manual to see how much ram it can support?

Thanks, it supports up to 4 Gig so still no idea
