What are some of the important consideration when spinning off a
private company out of a private parent company.

  At what point should relations between the two be limited and in what order?  
  What business functions should the spin-off rely on the parent for?
  Which functions should be separated quickly?

For liability reasons they should be separate immediately and for tax
reasons they should have a relationship that includes somewhere near
industry rates/prices etc.
