I have a small business that's run for four years as an LLC. It's done
nicely, grown to $2M in sales, is breaking even, has 13 employees. I
need to give key employees and/or recruits potentially equity or
options in the company.  I may also need to get investors I think I
need to change the business structure, but to what sort of structure? 
S corp? Full corp?  I only vaguely know these terms, I'm not ...  My
questions: What are the questions I need to now consider in order to
decide what sort of structure I want in moving away from being an LLC.
2) Is changing from LLC to other structure complicated?  How do I do
it -- and should I do it Jan 1 (the fiscal year)?
