Just a thought:

I know lawyers are not inexpensive, but for a transaction with this
amount of money I STRONGLY recommend you find a good business contract
attorney. If all the i's are not dotted and the t's properly crossed,
you may find yourself at an extreme disadvantage or even the victim of
fraud, in which case your financial well-being and credit rating could
be ruined forever. You will need to decide if saving some money on not
hiring an attorney is worth the potential risk (in my opinion, a large
one).

Best wishes and good luck!
