how do i find any corporation that provides independent or outside
board of directors with systems and services, eg. accounting systems
or outside email and document management systems ?

MOre specifically, I am looking for a company that provides these
types of systems and/ or services eg like a service bureau, to the
board of directors itself only , of public corporations. Such services
might be an electronic ability to give separate email services and
document storage OUTSIDE the corporate management, so that the board
can ensure that all its communication and documentation including eg.
personnel review of the CEO, is held outside the company for security
purposes.  Feel free to ask for any further clarification and good
luck.

The public Charter documents of many corporations imply or
specifically mandate the use of both inside and outside resources by
the Board of Directors to accomplish the responsibilities of corporate
governance, however, specific procedures are not part of the public
record. What level of detail are you seeking as proof?

I am aware of what your are saying in your second reply, but that is
not my interest.  My interest is simply in identifying a company or
companies that provide a software or system or service for outside
boards so that they can conduct their confidential communications
outside of having to use the management of the actual corporation they
oversee.  Often, especially in public corporations, the outside,
independent board of directors need email services and or documents
stored that they do not want stored by the management of the company
as it is so confidential, eg. the evaluation or contract between the
firm and the CEO. Thus, is there a firm that provides services to the
actual board of directors?

Tim, I'vedone a good deal of looking for individual firms that provide
the services you describe. What I've learned is that these services
are a) contracted out piecemeal to various business entities, none of
them specializing as a full service provider in this area b) handled
by the corporation's official auditors (i.e. the accounting firm
retained by the Board of Directors or their Audit Committee or c)
handled in-house, with a "Chinese Wall" between the normal corporate
operations and the separate functions required by the Board of
Directors. There are no specific guidelines covering methodology, and
therefore each implementation depends upon the individual corporate
circumstances. In most cases, the methodology is considered
proprietary information, and only shared with those directly involved
or impacted by the process.

Given these methods, I don't hold out a lot of hope that we'll be able
to locate exactly what you are looking for, unless information about
corporate auditors would meet your requirements. In that case, it
would help if you were very specific in the type of information you
require.

The question will certainly remain open until answered, or 30 days,
and other researchers may have better luck at finding service firms.
I'm simply letting you know the results of my own searching have not
yielded the type of information you're after.

Thank you for this thorough research.

I think that if we can find out exactly what outside auditors actually
do, that would be great.  Specifically, I am wondering if they have an
email service just for directors to communicate and store electronic
docs outside of the firm. In addition, do they provide a service to
boards to store info and paper docs, eg. the actual signed employment
contracts that the board may not want stored in the actual company ?  
The names of the accounting firms that do these functions would be
very helpful.
