How do you sell a consultancy that sells management training and
development. We have no 'bricks and mortor'. We do have a forward
order book, a vast library of great materials, a respected brand, and
an extensive network of quality independent consultants. We employ 6
people including the two directors who started the business

Service businesses are sold all the time in stock or asset sales, just
like manufacturing businesses. Because the principal assets "go down
the elevator" at the end of every day, it is customary for the
purchaser to require that individual employees of the seller enter
into employment contracts containing non-competition, non-disclosure
and other provisions to protect the goodwill acquired. As with other
business sales, the purchaser generally buys with an eye on the free
cash flow (EBITDA) of the acquired business, being willing to pay more
for higher earnings. Sales of service businesses generally occur at
lower prices (as a multiple of cash flow) than sales of manufacturing
businesses with valuable brand names, although this is not always the

Hilary,
