Small Business - Chapter S Election / Taxes

Formed an North Carolina Corporation on 8/24/05.  Intended to start
our small business in 2005.  Due to many different problems, the we
were delayed in starting and now want to get going.  After reading the
instructions for IRS Form 2553, and asking a few questions, I now have more
questions than answers, so here I am - and here goes.

1) Looks like we need to file a return for 2005, even though nothing
really "happened".  Would this be a regular 1120 for 2005? (that is
now
late as of 3/15).  No money in or out of the company in 2005.

2) Should I file a 2553 for the company using "FILED PURSUANT TO REV.
PROC. 2004-48" at the top?  Does this always work?  Accepted reasons? 
If I do file under this procedure, should I change the 2005 return to
a 1120S?

3) Would it be easier, quicker, safer (safe meaning I don't risk not
getting the 2006 s-corp election granted) to dissolve the current
corp, and simply form a new one?

Looking for a recommendation on how to proceed  Hope to open business
in June 06 and need to start asap - thanks!!!
