I have incorporated a C corp in Nevada recently. I selected my California address as the corporate headquaters. The main activity is providing online software services and custom software solutions. My question is as follows: - Do I have to register the corporation as a foreign C-corp in the state of California? Just by having an address in CA for mail receiving purposes (no retail, no actual office) means that the corporation is "doing business" in California? If I register as foreign corp in CA I will have to pay the minimum franchise fee of $800. The reason I incorporated in NV is that I do not have to pay state taxes. In other words: My objective is that I do not wish to pay CA state taxes. Should I change my corp address to a NV one or I can keep the CA address. Thank you |

Obviously you run this by your lawyer. Seems to me California will want to know For whom the "providing online software services and custom software solutions". is done. If your customers or suppliers are California based, Arnold may want a share. Having a single contract with Nevada casino even a money loosing one might be useful in future. As would some address in Nevada. Obviously you run this by your Nevada lawyer. |
