Hello Blucken,

Marine Industry

?The United States consists of two long seaboards and masses of rivers
and lakes between. Beyond the ubiquitous sports boats and small sports
cruisers, each region has its own boating character.?

?In the northeast, boating tastes are more established, more
traditional; sailing registers above average in interest and even the
power tastes are more traditional. Run down the eastern seaboard or
inside on the inter-coastal waterway that tracks from Maine all the
way down to Florida, and you see the boats begin to reflect the warmer
climates. While the northern half of the USA reflects a more European
season with warm summers and cold winters, the southern end of the
country runs a little differently. In Southern California one could go
boating practically year round, but it does get a bit chilly on the
odd winter's day. In Florida the season is still all-year round, but
the nicest weather is usually to be found during the winter, as
summers are generally very hot and humid. There's also the hurricane
season to contend with from August-September through to
October-November.?

?Many of the world's biggest luxury yachts are to be found in Florida,
particularly Ft Lauderdale.?

?In the mid-west, to the north especially, boating in Michigan has
plenty of scope because of its massive 'lake shores' - which of course
include Lakes Michigan, Superior, Huron and Erie.?

West coast: boating is more sporadic

?To the north, around Seattle, the climate is not especially cold but
it is a great deal wetter than most other areas of the US. Tastes tend
to favor the more rugged motor cruisers and sailing cruisers. Between
Seattle and California, very little goes on in terms of harbors and
marinas. The biggest boating concentration is San Francisco Bay, where
interests are varied, including top-end yacht racing.?

Industry Snapshot

?The U.S. boat manufacturers enjoy the largest market in the world
making up 40 percent of the global pleasure boat market.?

(?)

?The boating industry moved into the twenty-first century facing many
issues that would have a significant impact. All of these issues?U.S.
Environmental Protection Agency standards, operator licensing, marine
wildlife protection laws, various new or increased user fees and
taxes, and consumer debt?will play a major role in determining the
U.S. market for pleasure craft.?

Industry Leaders

The world's leading manufacturer of pleasure boats and motors is
Brunswick Corporation, based in Lake Forest, Illinois.

"In 2004 Brunswick had $5.23 billion in the global retail market.
Among the boat brands Brunswick builds are Sea Ray, Bayliner, Maxum,
Baja, Boston Whaler, and Robalo. Brunswick also manufactures Mercury,
Mariner, and Force outboard engines."

"In 2004 Brunswick purchased Aluminum Boat Companies (Crestliner,
Lowe, and Lund boats) from Genmar Holdings."

?The number two major player in the boat building industry is Genmar
Industries Inc., which is headquartered in Minneapolis but builds
recreational powerboats in Florida, Minnesota, Wisconsin, North
Carolina, Louisiana, and Arkansas. Genmar is dedicated to developing
research and technology that will not only change the recreational
boat industry, but will also improve and establish new standards in
manufacturing. Robotics is just one example of the work they are
doing.?

Genmar boat brands include Aquasport, Carver, Champion, Four Winns,
Glastron, Hydra-Sports, Larson, Marquis, Nuvari, Ranger, Seaswirl,
Stratos, Triumph, Wellcraft and Windsor Craft.

RESEARCH AND TECHNOLOGY

?For over 40 years fiberglass was the most common material used to
build small watercraft. But in 1999, a new process called Advanced
Composite Process (ACP) incorporated a vacuum-formed outer shell
reinforced by a central foam core with inner bi-directional fabric for
added strength, making the hulls of boats five times stronger against
impact and exposure. Along with enhanced quality, this is an automated
process which cuts man hours in the production of the boat hulls
versus the more labor intensive fiberglass product.?

(?)

??innovations in the boat industry in recent years have been in
electronics. VHF (very high frequency) radios, among the most common
pieces of boating equipment, have evolved from heavy, permanently
installed instruments to hand held, portable devices. Advances have
also been made in atmosphere sensor technology, including equipment
for detecting carbon monoxide. Another major technological development
in boating was the Global Positioning System (GPS).?

Boat Segment - First Quarter 2006

?The Boat segment reported sales for the first quarter of $751.0
million, up 10 percent compared with $680.7 million in the first
quarter of 2005.?

Marine Engine Segment - First Quarter 2006

?The Marine Engine segment, consisting of the Mercury Marine Group,
reported pro forma sales of $557.2 million in the first quarter of
2006, up 3 percent from $543.2 million in the year-ago first quarter.?

?Approximately 97 percent of our U.S. outboard sales in the first
quarter of 2006 came from low-emission engines, up from 65 percent in
the year-ago first quarter. The lower margins on these products, along
with the fixed-cost absorption impact from lower production levels to
maintain pipeline inventories, are largely behind the decline in
Marine Engine segment operating earnings and margins."

http://phx.corporate-ir.net/phoenix.zhtml?c=97828&p=irol-newsArticle&t=Regular&id=848693&

Risk Factors

?General economic conditions, particularly in the United States and
Europe, may adversely affect the Company?s results. The Company?s
revenues may be affected by U.S. and international market conditions
and consumer confidence. In particular, the Company?s marine
businesses are cyclical and are dependent upon economic conditions and
the overall level of consumer confidence. Any substantial
deterioration in general economic conditions that diminishes consumer
confidence in any of the regions in which the Company competes could
reduce the Company?s sales and adversely affect its business and
financial results.?

Higher energy costs can adversely affect the Company?s results and can
hurt demand for the Company?s products.

? Higher energy costs increase the Company?s operating costs at its
manufacturing facilities and the cost of shipping its products to
customers. In addition, products in the Company?s Marine Engine
segment are powered by gasoline or diesel fuel, and products in the
Company?s Boat segment have gasoline or diesel engines. Any increase
in the price of petroleum-based fuel, or the imposition of taxes or an
interruption of supply, could reduce demand for the Company?s marine
products.?

Higher interest rates can reduce demand, especially for marine products.

? The Company?s marine products, particularly boats, are often
financed. Rising interest rates can have an adverse effect on dealers?
and consumers? ability to finance boat purchases, which can adversely
affect the Company?s ability to sell its products and impact the
profitability of the Company?s finance activities, including Brunswick
Acceptance Company.?

GENMAR

Genmar is the leader in developing and acquiring advanced technology
for boat manufacturing.

The VEC® and Roplene® technologies used are revolutionizing the
boat-building industry by increasing durability, structural integrity
and consistency.
http://genmar.com/tech/

VEC Technology
Virtual Engineered Composites: The new standard in fiberglass

?Genmar® is the leader in the development and use of the most advanced
technology for boat manufacturing. Most notable, perhaps, is the
revolutionary Virtual Engineered Composite fiberglass molding system,
better known as the VEC® process. Unlike traditional labor-intensive
fiberglass open molding, the VEC® system is a computer-controlled,
automated closed-mold process. Production takes place in a
self-contained cell, and the completed hulls?incorporating the entire
stringer system and boat floor?are so precise in material portions,
bonding and thickness, they are both stronger and lighter than
conventional versions. ?

?The VEC® process is four times faster than open molding and,
importantly, reduces styrene emissions during lamination by more than
90 percent. The VEC® process injects resins and catalyst into a closed
mold. Because the mold is closed, more styrene is forced to bond with
the composite rather than escaping into the air, making the finished
component much stronger while protecting the environment. The bottom
line: better boats and a cleaner environment.?
http://genmar.com/tech/vec.cfm

Roplene Technology

?Roplene construction uses low-density polyethylene, which has five
times the impact resistance of fiberglass, is significantly less
expensive overall and 100 percent recyclable. The process produces
few, if any, air emissions, whereas open-face molding, the most common
method used to build fiberglass hulls, is labor intensive and releases
regulated emissions. The Roplene process begins with a specially
formulated polyethylene compound powder, which is poured into a
high-temperature mold. The mold is mounted in a large convection oven
and rotated both vertically and horizontally. The oven's heat melts
the powder, which forms the boat. The mold continues to rotate during
the cooling stage to ensure an even, consistent thickness.?

(?)

?The Roplene® system produces seamless, dual-wall hulls out of
naturally buoyant and incredibly strong marine-grade polyethylene.
Used in the manufacturing of Triumph® and Windsor Craft? boats, this
process produces hulls that are so strong they are virtually
impervious to cracks, dents and breakup in even the toughest boating
and docking situations.?
http://genmar.com/tech/roplene.cfm

Gel Coats

Protection from the sun

?As the first layer applied to the mold in a typical fiberglass
production process, gel coat is the thin, glossy exterior finish that
holds the boat's color. Most gel coat finishes today are UV-resistant,
meaning they protect the hull's color from fading under sunlight,
which happened often in older boats.?

Environmental protection

?Genmar used a premium gel coat with a vinylester barrier coat that
maintains the integrity of the outside surface and protects the
laminate with its tough outer shell. Its glossy luster stands up to
years of weathering and has a low amount of volatile organic
compounds.? http://genmar.com/tech/gelcoats.cfm

Hull Designs

?Boat hulls are are responsible for the vast majority of the boat's
performance. A superior-designed hull will handle and perform better
on the water.?

?Genmar offers a wide array of proprietary hull designs, each
engineered for specific boating applications?
http://genmar.com/tech/hulls.cfm

Robotics

?Genmar® manufactures boats using the latest technology - including
robotics - to increase efficiencies.?

?Robotics contributes to the quality of the finished product. Genmar's
advanced manufacturing techniques include the use of
computer-programmed multi-axis routers to shape and cut parts quickly
with incredible precision.?
http://genmar.com/tech/robotics.cfm

Environmental Initiatives

?Genmar's environmental initiatives of the past decade have long ago
made it the industry leader in pollution prevention.?

?Fiscal 2005 was a year of significant growth in revenue with a 20%
increase over 2004 and 35% increase over the past two year span. Firm
order backlog continued to grow and was at an all time high at June
30, 2005 at $52 million even though revenue for the fourth quarter was
a record at $20,469,100.?

?Net Sales for Fiscal 2005 of $71,182,069 were up 20% from Fiscal 2004
sales of $59,296,964. Sales for Fiscal 2003 were $52,557,084. The
Company attributes the sales increase to strong sales at retail,
introduction of new boat models, increased cruiser production and
strengthening of the dealer network. The Company experienced increased
sales in its fish boat and cruiser product segments.?

Ventilation And Dust Collection System

?During fiscal 2005 the Company completed a project to enhance the
process flow and efficiency of the factory. A new state of the art
ventilation and dust collection system was installed that meets the
"best engineering controls" criteria of the Air Quality MACT standard
and OSHA work place environment regulations. This project will
facilitate cost reduction and increased production, and results to
that effect were realized during the fourth quarter of Fiscal 2005.?

Effects of Inflation.

?The Company has not been materially affected by the moderate
inflation of recent years. Since most of the Company's plant and its
equipment are relatively new, expenditures for replacements are not
expected to be a factor in the near-term future.

When raw material costs increase because of inflation, the Company
attempts to minimize the effect of these increases by using
alternative, less costly materials, or by finding less costly sources
for the materials it uses. When the foregoing measures are not
possible, selling prices are increased to recover the cost increases.

The Company's products are targeted at the segment of the powerboat
market where retail purchasers are generally less significantly
affected by price or other economic conditions. Consequently,
management believes that the impact of inflation on sales and the
results of operations will not be material.?

Environmental Regulation

?The Company does not believe that compliance with federal, state, and
local environmental laws will have a material adverse effect on the
Company's competitive position.?

Marine Products Corporation

"Marine Products Corporation engages in the design, manufacture, and
sale of recreational fiberglass powerboats in the sportboat, deckboat,
cruiser, and sport fishing markets primarily in the United States. It
offers its sterndrive and inboard-powered sportboats, deckboats, and
cruisers, as well as sport fishing boats under Chaparral and Robalo
brands. The company sells its products to a network of 148 domestic
and 24 international independent authorized dealers. Marine Products
Corporation was incorporated in 2000 and is based in Atlanta,
Georgia."

Yahoo
http://finance.yahoo.com/q/pr?s=mpx

?Industry trends during 2005 were highlighted by higher wholesale and
retail powerboat sales, although unit sales declined slightly, due to
continued low interest rates, an improving domestic economy, and the
continuation of the shift in consumer preferences towards safe
recreational activities that take place close to home. ?

?The severe hurricanes in the Gulf of Mexico caused extensive damage
to many geographical areas that are popular for boating, sharp
increases in the price of gasoline, and impacted consumer confidence
and discouraged consumers from boating. ?

Outlook

?Pleasure boating is a discretionary consumer activity, and can be
negatively impacted by increasing interest rates, rising fuel costs,
and declines in consumer confidence due to a weakening economy or
other factors; therefore, an increase in interest rates or a decline
in consumer confidence could have a serious and immediate negative
impact on net sales and profits. Although the general economy remains
strong, in early 2006 we believe that the hurricanes that occurred in
late 2005 have negatively impacted consumer sentiment regarding
pleasure boating, due to continued media coverage regarding the long
term destruction in the Gulf Coast and predictions of a bad hurricane
season in 2006. We believe that these factors make consumers uncertain
about the infrastructure that supports recreational boating and the
future availability and price of fuel although concerns about the
price and availability of fuel are not as serious in early 2006 as
they were in the fourth quarter of 2005.?

(?)

?Over the past several years, Marine Products as well as other
manufacturers have been improving their customer service capabilities,
marketing strategies and sales promotions in order to attract more
consumers to recreational boating as well as improve consumers boating
experiences.?

Net Sales

?Marine Products net sales increased by $19.6 million or 7.8 percent
in 2005 compared to 2004. The increase was due to a 6.9 percent
increase in the average gross selling price per boat, and an increase
in parts and accessories sales offset by a slight decrease in the
number of boats sold. The increase in average gross selling price per
boat was due to higher sales of larger boats, in addition to overall
price increases that were implemented for the 2006 model year, which
began in July 2005, as well as a price increase of approximately one
percent that took effect in January 2005 to offset the higher cost of
materials. The increase in parts and accessories sales was a result of
high demand for accessories ordered on base model boats and the higher
numbers of boats sold in prior years that are still in operation and
require routine maintenance and repair.?

==========
Gas Prices
==========

According to Thom Dammrich, president of the National Marine
Manufacturers Association (NMM), ?boaters are still enjoying the
boating lifestyle despite rising gas prices, since 95 percent of boats
on the water today are under 26 feet in length, with almost half of
these under 16 feet."? "These smaller boats don't consume a large
amount of fuel so even a $1 increase in fuel prices will have a
minimal impact on the price of a boat outing.?

PR Newswire: May 24, 2006
http://prnewswire.com/cgi-bin/stories.pl?ACCT=SPIMAR.story&STORY=/www/story/05-24-2006/0004367832&EDATE=WED+May+24+2006,+07:00+AM

National Marine Manufacturers Association (NMMA)
Rising Gas Prices Won?t Keep Boaters Off the Water, Study Says

?Research indicates 94 percent of boaters are not turned off by rising
fuel costs; in fact, overall boating participation actually increased
by 2.3 million in 2005?

?Boaters are out on the water to relax and spend time with friends and
family," says Thom Dammrich, NMMA president. "They cherish time aboard
their boats and are reluctant to give it up, even in the face of
higher-than-normal gasoline costs. Boating is a lifestyle that isn?t
going to be significantly affected by what happens with prices at the
pump."

According to the 2005 Recreational Boating Statistical Abstract
regarding boating sales and participation numbers throughout calendar
year 2005:

?Last year, boating participation increased to 71.3 million overall
participants, up 2.3 million from the 2004 figures. New boat unit
sales remained steady in 2005, with less than a one percent decrease
for a total of 864,450 units.?

"Historically, boat sales are highly correlated with changes in
consumer confidence and the GDP. (?) Research indicates 2005 was a
steady year for the boating industry despite concerns surrounding how
increased fuel prices might impact boat sales and boating
participation."

?Although unit sales were slightly down or flat in 2005, dollar sales
actually increased nearly 8 percent last year to $11.6 billion,
compared to the previous year?s numbers. In fact, dollar sales have
been on the rise over the past two consecutive years while unit sales
remained flat.?

This finding is attributable to a number of factors:

- Trend toward the manufacture of larger, better equipped boats

- Increasingly fuel-efficient engines

- Overall improvements in marine technology, gear and accessories.?

Boating businesses buoyant about new season despite rise in price of marine fuel

?The company designs, manufactures and sells offshore sport boats,
sport fishing boats and sport cruisers that target the segment of the
recreational power boat market where speed, performance, safety and
quality are the main criteria for purchase.?

?Oil prices affect everything from the cost of manufacturing
fiberglass boats to shipping costs to the price of an afternoon on the
water, but most recreational boaters are so devoted to the seafaring
lifestyle that they're maintaining an even keel - or so those in the
business say. Business owners and marine industry organizations agree
that people's decisions about what to do on the water have less to do
with gas prices than they do with weather.?
According to Thom Dammrich, president of the National Marine
Manufacturers Association: "Frankly, I think interest rates are a
bigger issue than the gas prices," he said, explaining that ballooning
payments on variable rate mortgages and home equity loans might
discourage potential buyers.?

Baby Boomers
============

?While overall boat sales remain flat in terms of total units sold,
marine industry observers are seeing a surge in powerboat sales
worldwide among some older buyers. ?Work less, play more? seems to be
the summit Baby Boomers have set to conquer as they approach age 60
and beyond. They also believe, as a generation, theirs collectively is
a lifetime with many more years to enjoy -- years that are not spent
on establishing a career, raising children or dealing with limited
vacation time.?

?Baby Boomers want to relax and play. No fuss, no muss. The
?fill-up-the-tank, turn-on-the-key and-go? kind of boat is what
captures Boomer interest and checkbooks. Boomers also are looking to
outdoors recreation as a quality of life issue -- one that can enhance
what they believe are their remaining decades, not years, for life to
continue onward without hesitation.?

===============================
Improving Customer Satisfaction
===============================

?Over the past few years, the marine industry's interest in improving
customer satisfaction has evolved, moving from the "ostrich with its
head in the sand" mentality, to a general consensus -- led by a group

==========
STATISTICS
==========

UNITED STATES

Boat Park ? Boat ownership per capita is 1:23 based on a boat park
figure of 17,000,000.

Market Outlook

?The US market remains in good health, despite one of the worst
hurricane seasons on record and its military still on active service
in the Middle East. Boat sales continue to be strong overall, although
entry-level has probably taken some knocks. Conversely the big-boat
end of things is still doing extremely well, thanks to a still weak
dollar.?

CANADA Market Overview

?According to industry statistics, boat sales were up in 2005 compared
to 2004, and news from this year?s boat shows has also been positive,
leading to predictions for another good year for the marine industry.
Furthermore, boat and accessory manufacturers are almost universally
reporting top-line growth, with many expecting double-digit sales
increases in 2006.

However the strong Canadian dollar has resulted in a record wave of US
boat and engine imports, forcing prices down both at wholesale and
retail levels.?

UK

Boat Park ? Estimated at 560,000, evenly split between power and sail.
Around 85,000 or so of which are believed to be kept abroad.

Restrictions ? Moderate VAT rate of 17.5 per cent. Boating education
and registration schemes available, but voluntary stance (although
compulsory registration on a few inland waterways.)

Market Outlook

?The British leisure marine industry grew by 8.5 per cent in 2004,
increasing its turnover to a total of £1,994 million, according to the
BMF.

In six consecutive years of growth from 1999 to 2004, the revenue of
the UK leisure marine industry has grown by 57 per cent. The industry
has also shown considerable strength in the export market, growing by
5.6 per cent bringing in £839 million to the UK economy, representing
42 per cent of total revenue for the sector in 2004.

The BMF is forecasting further growth in 2005 of 3.3 per cent, which
would take total industry revenues to over £2 billion for the first
time. The industry employs approximately 30,000 people.?

Economic Impact Analysis of the Boat Manufacturing NESHAP

Abstract:

This document presents an evaluation of the economic impacts
associated with the proposed Boat Manufacturing National Emission
Standard for Hazardous Air Pollutants (NESHAP). It presents an
assessment of changes in prices, quantity produced, employment, small
business viability, and foreign competition associated with this rule,
which was proposed June 12, 2000.

?The boat production process can results in emission of HAPs. These
emissions impose costs on society however these costs are not
accounted for when producers and consumers make decisions regarding
the quantity of boats to produce and purchase. The costs of pollution
are external to the market mechanisms that determine the price and
quantity of boats sold and thus these costs are often referred to as
externalities. The proposed rule is designed to internalize these
external costs by establishing limits on the HAP content of materials
used in the manufacture of boats and limits for the amount of HAP
released during certain manufacturing processes. These limits will
impose
costs on the producers and consumers of boats but will also result in
a decrease in the external cost of pollution..?

This report includes a lot of industry statistics, tables and graphs.

LUXURY YACHT INDUSTRY

BILLION-DOLLAR-PLUS GROWTH IN THE LUXURY YACHT INDUSTRY.

- Luxury yacht order book up 28.4%
- 14 miles of yachts under construction
- Italian industry continues to surge
- US & Asian orders up dramatically
- 80-foot to 89-foot segment up 59%
- Open yacht market up 256%

?Since 1997, the global market for luxury yachts (over 80 feet) has
more than tripled. The luxury yacht business evolves hand in hand with
the world socio-economic climate: if the wealthy become wealthier,
shipyards receive orders for even bigger yachts (averaging 35 metres
in length). ?

Reasons for growth

?Continued economic growth in the US, Europe and Asia is a
contributing factor, as is the extraordinary level of new large-yacht
orders from the Russian market. But perhaps the most important factor
is the stability of the euro/US dollar exchange rate.?

nation remains unchallenged. The world's largest builder, the
Azimut-Benetti Group, today has 64 yachts over 80 feet under
construction and on order, up 14% on 2004 in terms of unit
production. The Ferretti Group (including
Ferretti, Pershing, Custom Line, Riva and CRN) is ahead of
Azimut-Benetti in unit production with 69 yachts, but remains in
second place in the overall builder rankings due to 291 fewer linear
feet under construction. The Rodriguez Group is showing growth,
posting a 96% order increase compared to 2004.?

UK

?The United Kingdom recorded a strong 75% increase in orders.
Sunseeker International boasted the biggest hike among the industry's
major manufacturers with a 116% boost this year.?

Germany

?Germany constructs the biggest luxury yachts in the world. Lürssen,
for example, leads the field in terms of yacht length (234? per
vessel on average with plans to produce a 532? yacht in the spring of
2005).?

ASIA

?Taiwan's and China's joint production increased by 217% compared to
2004 (calculated in linear feet).

RUSSIAN

DEMOGRAPHICS

?The average boater is 48 with an annual income of $71,000, and the
resurgent economy has helped some afford yachts outfitted with
flat-screen plasma TVs and staterooms. Sales of Hatteras yachts,
Brunswick's most luxurious line, soared at boat shows this winter.?

"With demographics and where they're positioned with their products,
things are looking pretty good for not only Brunswick but the
recreational boating industry as a whole," said Timothy Conder, an
analyst at A.G. Edwards and Sons.
