I am seeking a list of at least 5 public companies which have sold
preferred stock in a private placement in order to finance the cost of
the acquisition of another public company. The companies must be
either NYSE- or Nasdaq-listed and the transactions should be within
the last 3 years.
To recap, the key elements are that the company is public, the sale
was a private placement, the securities sold were preferred stock and
the deal was done in order to acquire another public company.
Links to press releases on the companies' websites announcing the
transactions are sufficient. |

Finding the private placements isn't difficult. What's difficult is
"purpose" of the sale. To clarify:
1. does the private placement announcement have to SPECIFY that it's
for an acquisition? As you know, often the verbage is something akin
to "to improve capital structure and take advantage of future
opportunities."
2. if there's a major acquisition within 12 months -- is that
adequate to your needs?

Omnivorous - I am trying to find transactions where the private
placement and the public acquisition are linked so, yes, I'm looking
only for examples where the private placement announcement indicates
that it is to finance a particular acquisition. This tends to be
explicit - if the language refers only to some general corporate
purposes, then the transactions are likely not sufficiently linked for
my purposes. For this reason, the private placement and acquisition
need to be contemporaneous as well. Thanks, Queries

Having noticed that the question is still unanswered, I thought that
I'd post a note that could be of interest to you. I recently put
together this list for another GA customer:

In mid-1997, due to market conditions, the private placement market
became more active due to drying up of bond market funds. My list of
55 transactions in the telecommunications shows a large number of
private placements -- and none for an acquisition.
Given the ability of public companies to issue common stock for a
pooling-of-interests transactions seems to me to make private
placements unlikely.
