Q: How do I structuring the offer terms of a technology venture capital fund

Venture Capital Funds (Technology)

The purpose of this piece of research is to formulate an appropriate
offering structure for a new venture capital technology fund and
justify the chosen structure in the light of what others use and US
industry standards. The fund is a special purpose fund which is
associated with a major international corporation that is involved in
high end engineering and design for oil and other companies. As a
result of this work it has excellent opportunities to see and invest
in various technology projects and companies that have the capacity to
add massive value to the users of the technology.

The comment in the Wikipedia article (see link below) says ?Most
venture capital funds have a fixed life of ten years.? the investors
have a fixed commitment to the fund that is "called down" by the VCs
over time as the fund makes its investments. In a typical venture
capital fund, the VCs receive an annual management fee equal to 2% of
the committed capital to the fund and 20% of the net profits of the
fund ("two and 20").?

I am interested in a review of each of the technology funds that have
been recently offered to find A) what are the variations to the 10
year fixed term? What is most common? Are there any trends in terms
emerging? B) what is the traditional approach to ?calling down? the
funds? Proportion up front? Number of call downs? Emerging trends? C)
what is the variation in annual management fees? Trends? D) what is
the variation on the net profit participation percentages? Trends?

I am also interested in:
?	a list of the top 10 US venture cap funds who specialise in
technology (not just software/computing but also process technologies
and technologies more broadly). Links to web sites, fund sizes,
portfolio holdings, etc.
?	A list of key industry/trade
journals/publications/books/associations for the technology VC market
?	Comments on how individual managing director/CEOs of funds tend to
participate in the profit of the fund
