I have found some software developers in India and want them develop a CRM
telemarketing application for me. It will syncronise with Salesforce.com.
I want to send a legal contract to them restricting them from
reselling this specific application. Where can I find a template
covering this issue ?

I would say you need to contact a legal expert for the following reasons.

Copyright, Backholes

Next thing is give the software to a quality to check if there any
kinds of back admin access. Since it is telemarketing application
where Customers Data is important than your application.
