I'd like to find a piece of software to transcode video files to MPEG
files that are optimized for ipod and psp on a web server. 
Specifically a windows 2003 web server.  I will have a videographer
upload a large avi or something similar and I want a software product
to use a "watch folder" or something similar to transcode the video on
the fly to formats optimized for ipod and psp.

Take a look at FFmpeg - it's free software that can be invoked from
the commandline (and therefore run by a server process), runs on
Windows, recognizes .avi files and can encode to iPod and PSP formats:

If that's no good, maybe other encoders here:
