As a small business owner, I would like to license a product that a
larger company has discontinued.  They have agreed, but they do not
want to spend any time on this.

They have asked me to draft a simple license agreement.  They said it should cover:
	- what they make per widget that I sell
	- description of what I am using their widget for
	- restriction on sales to other companies of the technology
	- assignment of license in case I am bought out
	- that the license is honored if they are bought out
	- that I am responsible for manufacturing 
        - that they are not responsible for any liabilities


Most boilerplates I have found are between 13 to 15 pages.  Can anyone
help find a simple one?

Note: I realize that after I have completed a rough draft that my
attorney should review it.
