There are many places to donate textbooks. Your best option is to
donate them to your local university library. You will receive a tax
benefit for this, and if you are close enough they may even come out
to pick up the books from your home or office.
Oftentimes university libraries that already own copies of the books
that are donated will turn around and sell them either in a large book
sale to the general public or to private used book stores. Copies
that they do not own will be accessed into the general collection.
As a librarian, I am usually in most favor of this option,
particularly for books on legal issues. This is because shipping
books overseas (another popular destination for donated books) is
expensive, and if the books are not relevant to the country in which
they arrive it's a big waste of time. I would guess that your average
third-world country is not too excited about torts laws in the US or
Europe (or wherever you are).
There is also a group organizing donations of legal materials to firms
affected by the September 11th attacks. You might check out the

This is a bulletin board for people who wish to donate materials,
time, or other resources to firms affected by terrorism. I am not
sure how up to date it is, or whether they will be looking for the
types of material you may have.
I found this bulletin board (as well as the websites for several law
libraries looking for donations) by doing a Google search for "donate
law books".
