Hello there.
Iam Pakistani national, would like to establish off shore company in
USA, the only work i will carry out in my offshore company is to
receive L/C from my buyer and make back to back l/c for my supplier,
the diff of value will be my commission which will stay at USA .I have
following questions related to the subject.
1. Give me list of relaible (authentic) companies which can help me
getting a offshore company registered in USA (I also need them to get
me bank account which i can operate from pakistan.) Do i need any US
citizen to be part of that company or can i (as being non US citizen)
be only owner of the company and bank account?
2. I need list of accountant firms who can help me with making
performa invoice and brief me extacly how much i will be taxed in
states and other legal requirement which are needed to carry on my
business.
3. Back to back l/c is possible in USA ? What i mean here is ; I
receive l/c from my buyer, i will ask bank to based on this l/c make
another l/c which will have me as buyer and mention another supplier
(who will produce the goods) and deduct some amount which is my
commission, this way for my buyer i m the seller, and for producing
supplier i am the buyer, is this all possible ?

I also need price tags (indication may be how much registering off
shore company would cost and how much an accountant would cost etc).
One thing which is a base of all of this is that i m non US citizen
and i want to be only 100% legal owner of the firm as well as i want
to open an bank account also.

Most international companies prefer to incoporate in the state of
Delaware in USA. You can actually incorporate in any state but
Delaware offers these benefits:
Faster incorporation time:
The Division of Corporations offers a variety of services including
"1-Hour", "2-Hour", "Same Day" and "24-Hour" Expedited Services which
are designed to meet your business needs.

Other states can take around a week.

Taxation:
The net profit is taxed between 15-39% in other states. In Delaware,
the minimum tax is just $35 per year

Registered agents:
Delaware State has a list of registered agents online. One of them
needs to be engaged to register an offshore company in USA:

You just need to engage a registered agent. You do not need a person in US.

Fees:
The fees for registering and managing an off-shore firm needs to be
paid to the registered agents. The fees charged by agents vary. For

Bank account:

They charge around $50 for opening an account. This excludes the
bank's requirements of minimum deposit and charges, if any. Citibank
opens a checking (current) account with a minium deposit of $1500

Most of the registered agents in Delaware can provide banking and
virtual office services. The charges for virtual office are around
$300 per year. You do not need to have an accountant in place for a
foreign business registered in Delaware (if you aren't actually
operating there). For other states, you need to maintain books of

hey wow, i impressed :) walikum asalam (hope u know the meaning of
this one too) :)

thank you for detailed answer, though my last question is still
unanswered, if you can answer then one too, i will be a happy man :)

its regarding, l/c , i want to receive l/c from my buyer, amend his
l.c with conditions and most impt. money and transfer the l.c to
producer.. this is to keep my money save and not letting buyer or
producing supplier know what actual commission i m making on any
order. I think its called back to back l.c.. or is there any other way
to do this keeping l/c routine in mind.

Dear Ramzi,

Thank you so much for your favorable comments! I think instead of
amending the Letter of Credit, you can just issue a fresh L/C from
your US account. It will cost you a small amount of money in terms of
bank charges but will ensure confidentiality.

Banks can transfer L/C as it is to another party on your consent but
do not allow amending of the amounts or details.

Is US the only place that you would be willing to register your
company, there are a lot more alternatives.Maybe I can help you.
